TSFE offers stake in Misr Life Insurance on EGX

This paves the way for the offering of a minority stake of up to 20% of the company's capital.

The Sovereign Fund of Egypt ( TSFE) has invited investment banks and specialized financial institutions to submit their technical and financial proposals for the role of promoting and covering the initial public offering (IPO) of a stake in Misr Life Insurance on the Egyptian Stock Exchange (EGX).

This comes after the Ministry of Investment and International Cooperation and the Sovereign Fund of Egypt announced the approval of the Egyptian Stock Exchange's Listing Committee for the temporary listing of Misr Life Insurance's shares, fully owned by Misr Insurance Holding Company, which is affiliated with the fund, on the Egyptian Stock Exchange.

 This paves the way for the offering of a minority stake of up to 20% of the company's capital.

The offering aligns with strategic directions aimed at deepening private sector participation to enhance asset management efficiency and create attractive investment opportunities in the insurance sector, which is considered a vital part of Egypt’s economy, according to a statement from the Ministry of Investment.

Misr Life Insurance holds a market share of approximately 22% of the life insurance market in Egypt.

The value of shareholder equity stood at about EGP 42 billion in September 2025, reflecting strong profit growth, financial strength, and robust operational performance.

The statement further clarified that the technical proposal must come from a licensed entity by the relevant regulatory authorities and include a track record of capital market deals and mergers and acquisitions in the insurance and financial services sector over the past five years.

It must also present an analytical view of the insurance sector, an initial valuation range for the company, proposed evaluation methodologies, a clear strategy and marketing plan, an initial list of potential investors, a proposal for the optimal transaction structure, and a description of the proposed team and their qualifications and relevant experience.

The Sovereign Fund emphasized that investment banks wishing to participate must submit a brief profile of their firm and previous experience by no later than March 8, 2026, for internal review in preparation for proceeding with the process.

If the submission is accepted, the applicant will be contacted to take the next steps, which include signing a confidentiality and non-disclosure agreement (NDA) as a prerequisite for participation and gaining access to detailed information about the company to prepare a comprehensive technical and financial proposal by March 18, 2026.

It is important to note that submitting the profile is not an automatic acceptance or final qualification for participation in the process, nor does it necessarily lead to sending a confidentiality agreement.
